Is a WhatsApp agreement legally binding, and can I use it in small claims court?
Yes, a WhatsApp chat can form a legally binding contract, and courts accept messages as evidence, as long as the exchange contains the terms and you can prove it is authentic and complete. A contract needs offer, acceptance, consideration and an intention to be bound, and no signature is required, so an informal chat setting a price, a deposit and a deadline can bind both sides. Export the whole conversation from WhatsApp (open the chat, use Export chat, include media), then have it certified: a line-numbered transcript, SHA-256 hashes, chain of custody and an eIDAS qualified timestamp, so the agreement, its terms and its timing are hard to dispute.

A WhatsApp exchange can be a real contract
There is no rule that a contract has to be on paper or signed. If the messages contain the core ingredients, the deal is binding, and courts have said so.
What makes a chat a contract
- Offer: one side proposes clear terms (a price, a scope, a date).
- Acceptance: the other agrees. A "yes", an "ok", even a thumbs-up emoji can count.
- Consideration: something of value each way, usually money for work.
- Certainty and intention: the key terms are clear and both meant to be bound.

What the courts have said
Informal messages, binding deal
In Jaevee Homes Ltd v Fincham [2025] EWHC 942 (TCC), the UK High Court held that WhatsApp messages formed a binding construction contract. The judge said the exchange, "whilst informal, evidenced and constituted a concluded contract." The dispute was over invoices totalling nearly GBP 196,000.
An emoji as acceptance
In the Canadian case South West Terminal Ltd v Achter Land and Cattle, a court treated a thumbs-up emoji as acceptance of a contract and awarded around CAD 82,000. The Court of Appeal upheld it.
The lesson is the same on both sides of a dispute: informality is not protection. If the deal is in the chat, the chat is the contract, so preserve it properly.
What a preserved chat can prove in a payment dispute
A full thread captures what was actually agreed, in what order, and when. That is what a small claim or a debt dispute turns on.
The price and the scope
The figure quoted and what it covers. When a client later claims "that included more," the chat shows exactly what was agreed and for how much.
A deposit or payment promise
A promised deposit, a payment date, or "I'll transfer tomorrow." The message where they committed to pay is often the heart of the claim.
Scope creep and variations
Extra work requested after the deal, and whether it was agreed as chargeable. The running chat is the clearest record of every change.
Delivery and sign-off
When you delivered, and the client saying it was received or approved. "Looks great, thanks" is powerful evidence that the work was accepted.
A verbal deal, put in writing
Where terms were agreed on a call, the follow-up messages confirming them ("as we said, GBP 2,000 by Friday") turn a verbal deal into provable terms.
Deposits, rent and private deals
Not just freelance work: a flat deposit, a private sale, money lent to a friend. If it was agreed over WhatsApp, it can be preserved and proven.

Taking it to small claims? Bring evidence that holds up
Most freelance and small-business payment disputes are small claims. You do not need a lawyer, but you do need to show the agreement, the terms and the breach clearly.

A complete, authenticated transcript proves the deal existed and what its terms were, without the "you edited this" argument.

Make it easy to cite
A line-numbered transcript lets you point to "Line 29" in your claim and your hearing, instead of scrolling a phone. Clear evidence is persuasive evidence.

Why a screenshot may not be enough
Take screenshots, they are a good first step. When money is owed, they are also the easiest evidence for the other side to attack.
To rely on a message, you generally need to show it is authentic, complete and attributable. A screenshot, stripped of its metadata, hash and provenance, invites the argument that it was edited or taken out of context.
"It could have been edited"
Fake-chat generators can produce a convincing conversation in seconds, so a bare screenshot invites the claim that you altered the terms. A SHA-256 hash and a signed manifest answer that.
"It's out of context"
A single message can be spun as a joke or a draft. A full export shows the offer and the acceptance together, so the agreement cannot be explained away.
No provable date
A screenshot has no independent timestamp. An eIDAS qualified timestamp and a Bitcoin anchor fix when the deal was struck, which matters when the sequence is disputed.
No chain of custody
There is no record of how the image was captured and handled. Certification preserves the raw export and adds the chain of custody an authentication needs.

How to export the WhatsApp chat
WhatsApp has a built-in per-chat export on your phone (iPhone and Android) and in the WhatsApp Desktop app (Mac and Windows). Choose to include media, and send us that export.
On a computer, in WhatsApp Desktop (Mac and Windows)

In the WhatsApp Desktop app on Mac or Windows, this is the quickest route:
- 1Right-click the conversation in your chat list (or click the chevron that appears on hover), then click Export chat.
- 2Choose Attach media (recommended) or Without media.
- 3The file is saved straight to your Downloads folder (a message confirms "Exported chat was saved to Downloads folder"). Send us that .zip.
You get the same _chat.txt plus media as the phone export. Desktop is easiest when the chat is already on your computer, or is too large to email from a phone.

Export chat greyed out or missing?
Two things can hide the in-app Export chat. It is unavailable in Germany (and may be limited in a few other regions). It is also disabled when Advanced Chat Privacy is turned on for that chat. Turn Advanced Chat Privacy off and export again, use a device backup, or email us and we will guide you.

Send us everything (recommended)
The primary artifact is the _chat.txt export plus its media folder. For the strongest exhibit, if available also send the WhatsApp message database, which can sometimes still hold recently deleted messages. We seal whatever you send, hashed and timestamped, never opened. If authenticity is ever disputed, a court-appointed expert can verify the transcript against the source. Decrypting the database needs its key, which the custodian provides separately.

Two layers of proof, and what each one means
Both layers are included in every certification. The qualified timestamp is what carries a legal presumption in the EU, and strong corroborating weight elsewhere.
Bitcoin OpenTimestamps
The SHA-256 hash of your sealed manifest is anchored in the Bitcoin blockchain: a decentralised, independent, tamper-resistant proof that the export existed at a point in time. The court weighs it as part of the evidence.
eIDAS qualified timestamp
Presumption in the EU
Issued by Disig a.s., a Qualified Trust Service Provider on the EU Trusted List. Under eIDAS Article 41(2) it carries a presumption of accuracy of the date and integrity of the data in the EU. Elsewhere a court treats it as strong, independent corroboration.
What certification proves, and what it does not
What certification proves
- The export existed in that exact state no later than the timestamp.
- It has not been altered since it was sealed.
- The raw export is preserved for later expert examination.
- If you also send the sealed message database, an expert can examine the sender identifiers each message is bound to, which materially strengthens attribution.
What it does not do
- It does not decide whether a binding contract was formed or who wins; the court decides that.
- It is verifiable preservation, not legal advice or a substitute for a solicitor.
- On its own it ties messages to an account, not conclusively to a named person; the court decides authorship.

In the UK an informal WhatsApp exchange can form a binding contract (see Jaevee Homes Ltd v Fincham [2025] EWHC 942 (TCC)), and the Civil Evidence Act 1995 lets the court weigh the reliability of documentary evidence. The eIDAS Article 41(2) presumption applies in the EU; in the US the same package supports authentication under FRE 901 and self-authentication under FRE 902(14).
